1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and Equidity Technologies L.L.C ("Company", "we", "us", or "our") concerning your access to and use of the BrokerVU platform and services.

By accessing or using BrokerVU, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

2. Description of Services

BrokerVU is a comprehensive broker infrastructure platform that provides forex brokers and financial institutions with technology solutions including but not limited to:

• Admin CRM for broker management and operations
• Client portal for trader self-service and account management
• Native mobile applications (iOS & Android)
• IB/Rebate management system
• Social trading and PAMM management tools
• Ticketing and live chat support systems
• KYC/Compliance and verification tools
• Real-time analytics and reporting dashboards
• Integration with MT5, Tradyn, and other trading platforms
• Payment gateway integrations
• White-label customization services

3. Eligibility

To use BrokerVU, you must:

• Be a registered business entity (forex broker, financial institution, or authorized white-label partner)
• Have the legal authority to enter into binding contracts on behalf of your organization
• Possess any required financial licenses or regulatory approvals in your jurisdiction
• Not be prohibited from using our services under applicable laws
• Comply with all relevant financial regulations and anti-money laundering requirements

4. Account and Access

When you subscribe to BrokerVU services, we will provide you with administrative credentials to access the platform. You agree to:

• Keep your administrative credentials secure and confidential
• Not share your credentials with unauthorized third parties
• Implement appropriate internal access controls for your team
• Accept responsibility for all activities conducted using your account
• Notify us immediately of any unauthorized access or security breach

5. Technology Provider Disclaimer

BrokerVU is solely a technology infrastructure provider. We provide the software platform, tools, and infrastructure for brokers to manage their operations. You must understand that:

• We are NOT a broker or financial institution - BrokerVU does not hold any brokerage licenses and does not provide trading or brokerage services directly to end-users
• We do NOT collect, hold, or manage client funds - All client deposits, withdrawals, and fund management are handled entirely by you (the broker) and your payment providers
• We are NOT responsible for your clients' funds - Any funds deposited by your clients are held by you or your designated payment providers, not by BrokerVU or Equidity Technologies L.L.C
• You are responsible for regulatory compliance - BrokerVU provides tools to assist with compliance, but you are solely responsible for obtaining and maintaining all required licenses and adhering to regulations in your jurisdiction
• We do NOT provide financial advice - The platform provides tools and infrastructure only
• We do NOT guarantee trading outcomes - Trading involves substantial risk of loss for end-users

As a broker using BrokerVU, you are independently responsible for all aspects of your brokerage business, including client relationships, fund management, regulatory compliance, and trading conditions.

6. Your Responsibilities as a Broker

By using BrokerVU, you acknowledge and agree that you are solely responsible for:

• Obtaining and maintaining all necessary regulatory licenses and approvals
• Complying with all applicable financial regulations in your operating jurisdictions
• Implementing proper KYC (Know Your Customer) and AML (Anti-Money Laundering) procedures
• Managing all client funds and ensuring proper segregation where required
• Providing appropriate risk disclosures to your clients
• Maintaining adequate capitalization and financial safeguards
• Handling client complaints and dispute resolution
• Ensuring data protection and privacy compliance for your end-users
• Configuring the platform securely and appropriately for your business needs

7. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or in violation of regulations
• Operate without proper regulatory authorization in your jurisdiction
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code through the platform
• Attempt to gain unauthorized access to our systems or other clients' data
• Interfere with or disrupt our services or infrastructure
• Engage in fraudulent activities or facilitate money laundering
• Resell or redistribute our services without a valid white-label agreement
• Reverse engineer, decompile, or attempt to extract source code
• Use the platform to target sanctioned countries or restricted persons

8. Intellectual Property

All content, features, and functionality of BrokerVU, including but not limited to software, code, designs, logos, and documentation, are owned by Equidity Technologies L.L.C and protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use our services in accordance with your subscription agreement and these Terms. You may not copy, modify, distribute, sell, or lease any part of our services without our prior written consent.

9. White-Label Services

For clients using our white-label services:

• You are granted the right to rebrand and customize the platform according to your service agreement
• You may use your own branding, logo, and domain name
• You remain fully responsible for regulatory compliance in your jurisdiction
• You must maintain accurate records of your end-users as required by law
• You may not sublicense the platform to third parties without our written consent
• Custom development requests are subject to separate agreements and fees

10. Fees and Payment

Subscription fees, setup costs, and pricing for our services are outlined in your service agreement. You agree to:

• Pay all applicable fees in accordance with the payment terms specified
• Provide valid payment information and maintain current billing details
• Pay any applicable taxes (excluding taxes on our income)
• Accept that fees are non-refundable except as expressly stated in your agreement

We reserve the right to modify our fees with 30 days' notice. Continued use of services after a fee change constitutes acceptance of the new fees.

11. Service Level and Uptime

We strive to maintain high availability of our services. However, we do not guarantee uninterrupted access and are not liable for:

• Scheduled maintenance periods (with advance notice)
• Unexpected downtime due to circumstances beyond our control
• Third-party service failures (internet providers, data centers, integration partners)
• Issues caused by your configuration or customization

12. Disclaimer of Warranties

BROKERVU IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE ARE NOT RESPONSIBLE FOR THE ACTIONS OF BROKERS USING OUR PLATFORM OR THE OUTCOMES OF TRADING ACTIVITIES.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EQUIDITY TECHNOLOGIES L.L.C SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR CLIENT RELATIONSHIPS.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

WE ARE NOT LIABLE FOR ANY LOSSES RESULTING FROM YOUR FAILURE TO COMPLY WITH REGULATORY REQUIREMENTS OR YOUR MANAGEMENT OF CLIENT FUNDS.

14. Indemnification

You agree to indemnify, defend, and hold harmless Equidity Technologies L.L.C and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of our services
• Your violation of these Terms or applicable laws
• Your violation of any rights of third parties
• Your relationships with end-users and management of their funds
• Regulatory actions or penalties imposed on your brokerage operations
• Claims by your clients related to their trading or account management

15. Data and Privacy

Our collection and use of information is governed by our Privacy Policy. By using BrokerVU, you agree to our Privacy Policy and acknowledge that:

• You are the data controller for your end-users' information
• BrokerVU acts as a data processor on your behalf
• You are responsible for obtaining necessary consents from your clients
• You must comply with applicable data protection regulations (GDPR, etc.)
• We implement appropriate security measures but you maintain responsibility for your data

16. Termination

Either party may terminate these Terms:

• For convenience with 30 days' written notice
• Immediately for material breach if not cured within 15 days of notice
• Immediately if the other party becomes insolvent or ceases operations

We may suspend access immediately if we believe you are violating these Terms, engaged in fraudulent activity, or posing a security risk.

Upon termination, you must cease using our services, return or delete our confidential information, and we will provide you with access to export your data for a limited period (typically 30 days).

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

Before initiating formal legal proceedings, parties agree to attempt good faith negotiations to resolve disputes.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our website
• Sending email notification to your registered email address
• Providing in-platform notifications

Your continued use of our services after changes become effective constitutes acceptance of the new Terms. If you do not agree to the changes, you must discontinue use of our services.

19. Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

20. Entire Agreement

These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and Equidity Technologies L.L.C regarding the use of BrokerVU services and supersede all prior agreements and understandings.
